These Terms and Conditions apply to access and use our website & services,
1.1 Ubie agrees to provide the Client with the Plan specified via email.
1.2 The Client understands that the Services provided by Ubie are subject to the terms and conditions outlined in this Contract and any additional documents referred to herein.
2.1 The Client agrees to pay Ubie the fees as specified in the chosen service plan. Payment will be made on a recurring basis, as outlined in the payment terms agreed upon during the initial consultation.
2.2 Two monthly payments are due upfront before commencing work. These upfront payments will be applied to the
first two months of the 12-month contract.
2.3 In months 11 and 12, the Client will not be required to make monthly payments if all previous payments are up to date. Due to two payments being made upfront. Payments will continue to commence on a 1-month rolling basis from month 13 (unless cancelled).
2.4 All payments shall be made via Direct Debit unless otherwise agreed upon in writing by both parties.
2.5 The Client acknowledges that failure to make timely payments may result in the suspension or termination of the
Services provided by Ubie.
2.6 Ubie Ltd currently operates as a non-VAT registered business. However, in the event that Ubie Ltd becomes VAT registered, VAT may be charged on payments for applicable goods and services.
2.7 If Ubie Ltd becomes VAT registered, any VAT charges will be applied in accordance with the applicable UK VAT laws and regulations.
2.8 Ubie Ltd will provide the Client with reasonable notice of any changes related to VAT registration and charges. Such notice will be communicated via email or other suitable means.
2.9 Ubie will make reasonable efforts to avoid fee increases whenever possible. However, Ubie reserves the right to change prices after the contract or during its duration, including the ability to increase pricing in alignment with UK inflation.
2.10 In the event of a price change due to UK inflation, Ubie will provide the Client with reasonable notice before implementing any adjustments to the pricing. Such notice will be communicated via email or other suitable means.
3.1 The initial term of this Contract shall be 12 months, commencing on the date of your first invoice. After the initial term, this Contract will automatically renew on a rolling monthly basis unless terminated by either party in accordance with the termination clause outlined in this Contract.
4.1 If the Client fails to pay for over 3 months, Ubie may claim the entire outstanding amount due (within the minimum contract) as one payment and suspend the website.
4.2 In the event of a material breach of this Contract by either party, the non-breaching party may terminate the Contract immediately upon written notice.
5.1 Ubie may suspend the website for reasons including, but not limited to, late payment, refusal of payment, cancelled Direct Debit mandate, inappropriate/illegal content, or management discretion.
5.2 Ubie is not obligated to notify the Client of the website suspension, which can occur at any time at the management’s discretion.
6.1 Each party agrees to keep confidential all non-public information received from the other party, both during and after the term of this Contract.
7.1 Ubie will make reasonable efforts to ensure the accuracy and functionality of the Services but does not guarantee any specific results or outcomes.
7.2 Ubie shall not be liable for any damages, including but not limited to direct, indirect, incidental, consequential, or special damages, arising out of or relating to the use or inability to use the Services.
8.1 This Contract shall be governed by and construed in accordance with the laws of England and Wales.
9.1 Ubie reserves the right to conduct a background check on the Client and their business (if applicable) using thirdparty providers.
9.2 The Client will be informed of the background check before processing via email, and the Contract will not
proceed until permission has been given by the Client.
9.3 Management reserves the right to ask further questions, request identification, or refuse services based on the results of the background check.
9.4 Ubie can refuse pay monthly services if the business is deemed too risky or falls under restricted categories, such as Over 18 websites like Gambling or competition-based websites, at management’s discretion.
10.1 Clients are responsible for ensuring they are eligible for Ubie services based on the following requirements:
10.1.1 Not being on the insolvency register.
10.1.2 No company disqualification.
10.1.3 Having the funds to cover the full contract agreement.
10.1.4 No previous ban or unpaid bills with Ubie.
10.1.5 Not declared bankrupt in the last 10 years.
10.2 Clients must be in a responsible financial state to operate a business and have sufficient funds to cover the full
amount of the contract agreement.
10.3 We do not provide services to clients or businesses who have previously been banned from using our services, have outstanding unpaid bills with us, or have failed to complete their contract payments in full.
10.4 Clients or businesses/companies that have been declared bankrupt in the last 10 years are not eligible for our services.
10.5 Clients must not be engaged in providing illegal services or products.
10.6 We do not provide services to clients involved in any kind of fraudulent activity.
10.7 Ubie Ltd reserves the right to request documentation or information to verify the client’s eligibility for our services, and decisions regarding eligibility will be made at our sole discretion.
11.1 Late monthly payments will be subject to UK law for late payments and suspension if the overdue balance exceeds 30 days.
11.2 Failed payments over 30 days will incur a £15 fee to reactivate the account. If the Client informs Ubie of the impending payment failure before the due date on the first occasion, Ubie may come to an internal arrangement at
12.1 Website Plans are contracted to a minimum of 12 monthly payments.
12.2 After the minimum payments and contract length are completed, the Client will automatically be placed into a 1-month rolling contract, with a 30-day notice period to cancel.
12.3 Ubie reserves the right to suspend the website for reasons including late payment, refusal of payment, cancelled Direct Debit mandate, inappropriate/illegal content on the website, or any reason management deems necessary. Ubie may suspend the website without prior notice at management’s discretion.
12.4 Ubie has the right to terminate the contract if the Client is engaged in fraudulent activity, and no loss will be held responsible for Ubie during the investigation.
12.5 After 1 year of an overdue invoice, all services can be permanently removed or disabled with no recovery, including but not limited to the domain name, hosting, SSL, website licenses, email addresses, and domain name, which will be placed back on the market for others to purchase.
13.1 The Client may cancel the Direct Debit Mandate, but any remaining contract length may still be applicable and considered a breach of contract.
13.2 Ubie may cancel the Direct Debit Mandate if the Client is in breach of any terms of the Contract.
13.3 In the event of cancellation, the Client is fully responsible for complying with UK law and ensuring any digital goods and the associated costs are appropriately managed.
14.1 Ubie may use third-party services, including but not limited to IONOS, Cloudflare, Namecheap, Amazon AWS services, 123-REG, Gandi, Names, WordPress, Google, including Analytic services, and various related WordPress services and plugins.
14.2 The Client is subject to the terms and conditions of these third-party services automatically upon using them.
15.1 Business Website Plans should not exceed over 10GB in storage, and Online Store Plans should not exceed over 20GB in storage. Exceeding these limits may require an upgrade to a dedicated server with an additional fee at management’s discretion.
15.2 Ubie holds the right to suspend the website immediately without warning if it affects the performance of other websites on the same server.
15.3 Ubie may limit the website’s CPU, RAM, Disk Read/Write, or other resources if it slows down other client sites.
15.4 Clients are not allowed to use their own website hosting or have access to their websites hosting when hosted on Ubie servers.
15.5 It is required that all websites within their minimum contract or on a one-month rolling contract be hosted on
15.6 Ubie servers are provided by third-party companies, and their terms and conditions will automatically be applied to the Client.
15.7 After the minimum contract ends and all payments have been made, the Client can request the transfer of their
website’s files and database, providing 1 month’s notice. Ubie will not take responsibility for setting up the files on a
new host once they leave Ubie.
15.8 Ubie will make reasonable efforts to ensure server uptime for the Client’s website. Ubie aims to achieve a server uptime of at least 99% during each calendar month.
15.9 Ubie shall not be held responsible for any loss of data, revenue, or other damages caused by server downtime or interruptions beyond its reasonable control, including but not limited to acts of nature, network outages, or malicious attacks.
16.1 If the Client’s domain name is with Ubie, access to the domain control panel, including DNS and email settings, will not be provided.
16.2 Domain names with Ubie cannot be transferred or accessed within the minimum contract or if any outstanding invoices are due.
16.3 Website Plans include one free domain name, either an available (.co.uk) or (.com) domain name. Other domain names will incur an additional fee at management’s discretion.
16.4 If the Client owns a domain name, it may need to be transferred to Ubie, unless management has stated otherwise. The Client is responsible for ensuring the transfer works correctly.
16.5 If the Client wishes to transfer their domain name after the contract ends and all minimum payments are made, it will require 1 month’s notice and the provision of an IPS tag for the new provider.
16.6 Ubie will own the domain name in its account until all payments are made and the minimum contract period has ended.
17.1 Mailboxes have a maximum storage of 2GB per mailbox. If this limit is exceeded, emails will not be sent or stored without warning.
17.2 Additional email storage can be provided for a fee at management’s discretion upon request.
17.3 SMTP for emails will go through Amazon SES (Simple Mail Service), and the Client will automatically be bound by their terms and conditions.
17.4 High bounce rates, excessive spam, or any factor affecting SMTP health score may result in the removal of the Client from Amazon SES without notice.
17.5 After the minimum contract ends and all payments have been made, the Client may close their mailbox and have the emails transferred, subject to the restrictions of the email provider.
17.6 Ubie cannot be held responsible for actions, spam, downtime, lost emails, or vulnerabilities associated with the email service provided by a third party.
17.7 The Client is responsible for complying with all applicable Email Archiving laws and regulations in the United Kingdom.
17.8 Ubie Ltd does not automatically archive emails as part of the Services. It is the Client’s responsibility to ensure proper email archiving and retention in accordance with the relevant legal requirements.
17.9 Ubie Ltd recommends that the Client downloads and securely stores their important email messages offline if
they plan to delete emails from their inbox.
17.10 Once the Client deletes an email, it will be permanently removed from the email system, and Ubie Ltd cannot recover the email under any circumstances.
17.11 The Client acknowledges that email services are currently provided by IONOS, and their terms and conditions automatically apply to the email services used by the Client. The Client agrees to comply with IONOS’ terms and conditions in using their email services.
17.12 IONOS may have certain restrictions and limitations on their email services, and the Client agrees to abide by these restrictions as part of their use of the email services provided by IONOS.
17.13 Alternatively, the Client may choose to use their own email provider for their domain. However, in such cases, Ubie cannot provide any support or assistance for the configuration, setup, or troubleshooting of the email services from the third-party provider chosen by the Client.
17.14 The Client acknowledges that while Ubie will make reasonable efforts to ensure the uptime of its servers, Ubie cannot guarantee the uptime of its third-party email service provider (e.g., IONOS). The third-party provider may have their own uptime guarantees and service level agreements, which are subject to their terms and conditions.
17.15 Ubie will closely monitor the email services provided by the third-party company and will promptly address any issues or disruptions reported by the Client to the best of its ability. However, the Client understands that Ubie’s ability to address email service issues may be limited by the policies and practices of the third-party email service provider.
17.16 Ubie reserves the right to change email providers at any time for reasons including but not limited to improved service offerings, pricing changes, or changes in business relationships. In the event of a change in email provider, Ubie will make reasonable efforts to notify the Client in advance and provide guidance for any necessary adjustments to the email services.
18.1 If a plan includes ‘Initial SEO,’ it aims to optimize the website’s meta-tags and submit the listing for a Google My Business listing. It does not guarantee specific positions or results and is not subject to refunds or compensation.
18.2 Ubie will not be held responsible for changes in the website’s ranking due to amendments, updates, or changes made by Ubie during the provision of the Services.
19.1 Ubie utilizes Let’s Encrypt SSL services.
19.2 If a paid SSL is required, the Client must request it before project initiation.
19.3 Let’s Encrypt SSL does not include a warranty. For critical applications, a paid SSL with a warranty is recommended, subject to additional fees.
20.1 Any passwords provided by the Client or Ubie should be changed immediately upon receipt.
20.2 Clients are fully responsible for the security and confidentiality of their passwords and login credentials.
20.3 Ubie will not be liable for any unauthorized access or security breaches resulting from the Client’s failure to protect their passwords.
21.1 Ubie reserves the right to change its business address at any time.
21.2 Ubie’s current registered address is 27 Old Gloucester Street, London, United Kingdom, WC1N 3AX, with company number 12380483.
22.1 Ubie may refuse to provide services to the Client for any reason deemed necessary, including business ideas or categories deemed unsustainable or too risky.
22.2 Ubie holds the right to pass on the Client’s personal information to services related to the provided Services.
22.3 Ubie has the right to use the Client’s website links and material to advertise its products on various marketing platforms, on the Ubie website, and in advertising materials.
23.1 This Contract constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements, whether oral or written.
